The limitations of liability set forth in this Section reflect a fair allocation of risk and form an essential basis of the bargain between you and Dewey's Pizza. These limitations shall apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.


10. Indemnification

You agree to indemnify, defend, and hold harmless Dewey's Pizza, its owners, officers, directors, employees, agents, contractors, licensors, service providers, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) that the Indemnified Parties may incur as a result of or arising from:

YOU AND DEWEY'S PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION OR PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

12.4 Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending the conclusion of arbitration. Nothing in this Section shall limit either party's right to file a complaint with a federal or state regulatory agency, including the Federal Trade Commission (FTC).


13. Term and Termination
